Terms of Service

These terms govern access to and use of KSN Suite, its storefronts, portals and related services provided by InnovateNow. By creating an account, starting a trial, or using the service, you agree to them on behalf of the organization you represent.
The service
KSN Suite is a hosted, multi-tenant business platform. Each customer receives an isolated tenant; features available in a tenant depend on the plan and add-ons selected. We may improve or modify features over time provided the service's core capabilities are not materially reduced during a paid term.
Trials
Trial tenants provide full access for fourteen days at no charge and require no payment method. At the end of the trial you may subscribe and keep the same tenant and data, or let the trial lapse, in which case the tenant is deactivated and its data deleted after a grace period.
Accounts and responsibilities
Your administrators control who has access to your tenant and what permissions they hold. You are responsible for safeguarding credentials, for the accuracy of the data your organization enters, and for using the service in compliance with applicable law.
Acceptable use
You may not attempt to access another tenant's data, probe or degrade the service, resell access without agreement, use the platform to send unlawful communications, or upload content you have no right to use. We may suspend access that threatens the security or integrity of the platform, with notice where practicable.
Fees and billing
Paid plans are priced per user per month with the minimums shown on the pricing page, plus any selected add-ons. Fees are billed in advance, are exclusive of applicable taxes, and are non-refundable except where the law requires otherwise. Plan changes apply to the same tenant without migration.
Your data
Your organization owns the data in its tenant. You grant us the rights needed to host and process it to provide the service. On termination you may request an export of your data during the grace period before deletion.
Availability and support
We operate the service with commercially reasonable skill and care, maintain backups, and schedule maintenance to minimize disruption. The service is provided without warranties beyond those that cannot be excluded by law.
Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential losses, and our total liability under these terms is limited to the fees paid for the service in the twelve months before the claim arose. Nothing limits liability that cannot lawfully be limited.
Termination
Either party may terminate for material breach that remains uncured after notice. You may cancel at the end of a billing term. Sections that by their nature survive termination — including data ownership, liability limits and governing law — survive it.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, and the parties attorn to the courts of Ontario.
